On Providing Voluntary Charitable Donations
This public offer for providing voluntary charitable donations (hereinafter referred to as the “Offer”) is addressed to an indefinite circle of individuals and legal entities by the CHARITABLE ORGANIZATION “CHARITABLE FUND FUTURE IN ACTION” (hereinafter referred to as the “Fund”), identification code of the legal entity 45121965, located at: city of Kyiv, Volodymyra Ivasyuka Avenue, building 42-V, apartment 25, represented by the director Ihor Kostiantynovych Shapataiev, acting under the Statute, who voluntarily make a charitable donation within the meaning of this public offer (hereinafter “Donor”) to conclude an agreement on providing voluntary charitable donations (hereinafter the “Agreement”) on the terms specified in this Offer below:
1. TERMS AND DEFINITIONS
1.1. Public offer – a valid proposal of the Fund posted on the website for providing voluntary charitable donations, addressed to an indefinite circle of individuals and legal entities.
1.2. Acceptance – complete and unconditional acceptance of the public offer by making money transfers using the payment forms and means available on the website, as well as by transferring money to the Fund’s settlement account through banking institutions. The moment of acceptance is the date of crediting the funds to the Fund’s settlement account.
1.3. Charitable donation – a free and voluntary transfer of funds by the Donor to the ownership of the Fund for the achievement of certain predefined goals of the Fund’s activities, in accordance with the Agreement, the Statute, and the Law of Ukraine “On Charitable Activities and Charitable Organizations.”
2. SUBJECT OF THE AGREEMENT
2.1. The subject of this Agreement is the free and voluntary charitable transfer of funds by the Donor to the ownership of the Fund through voluntary donations for the realization of statutory goals.
2.2. The Donor determines the amount of the voluntary charitable donation at their own discretion.
2.3. The Fund independently determines the scope and directions of using the charitable donation to achieve goals, tasks, directions, and types within its own statutory activities.
2.4. In case the amount stated in the project collection goal is not reached, the amount will be used for the implementation of the respective project in the amount that was collected or will be directed to the implementation of other Fund projects. The Donor agrees to redistribute/use the funds in other projects that were sent by them according to sections 2.2, 2.3, and 2.6.
2.5. The performance of this Agreement by the parties is not intended to generate profit or any benefits for any of the parties.
2.6. Acceptance of this Public offer by the Donor is made through the free and voluntary charitable transfer of funds.
3. ACCEPTANCE
3.1. Acceptance of the Offer (acceptance of the Offer’s terms) means that the Donor fully understands and agrees to all its provisions, with the purpose of public fundraising and with the Fund’s right to use a portion of the Donor’s Charitable donation for administrative expenses of the Fund, not exceeding what is provided by the Law of Ukraine “On Charitable Activities and Charitable Organizations.”
3.2. The Donor and the Fund agree that from the moment of Acceptance of the Offer, this Agreement is considered concluded, in accordance with Articles 639, 641, and 642 of the Civil Code of Ukraine. At the same time, the parties agree that after acceptance, the non-signing of this Agreement as a separate document does not invalidate this Agreement.
4. RIGHTS AND OBLIGATIONS OF THE PARTIES
4.1. The Fund has the right to:
4.1.1. Receive free voluntary charitable donations and use them to achieve the goals, tasks, directions, and types of the Fund’s statutory activities in accordance with the Agreement and the Law of Ukraine “On Charitable Activities and Charitable Organizations.”
4.1.2. Use a portion of the free voluntary charitable donation for administrative expenses of the Fund, not exceeding what is provided by the Law of Ukraine “On Charitable Activities and Charitable Organizations.”
4.2. The Fund is obliged to:
4.2.1. Use the Donor’s funds, who made a free voluntary charitable transfer of funds, to achieve the goals, tasks, directions, and types of the Fund’s statutory activities only in accordance with the legislation of Ukraine and the Fund’s Statute.
4.2.2. Provide reporting on the use of the Donor’s funds, who made a free voluntary charitable transfer of funds, for achieving the goals, tasks, directions, and types of the Fund’s statutory activities.
4.3. The Donor has the right to:
4.3.1. Make a free voluntary charitable transfer of funds to the Fund’s account in the manner specified in the Agreement.
4.3.2. Exercise control over the use of the transferred funds and receive information about the use of the transferred funds to the Fund’s account.
4.4. The Donor is obliged to:
4.4.1. Carefully and attentively read all the rules and conditions of the Offer and accept them when making a free voluntary charitable transfer of funds to the Fund’s account.
5. PROCEDURE, TERMS, AND PLACE OF FUNDRAISING
5.1. The Fund provides the Donor with the opportunity to make free voluntary charitable transfers of funds electronically on the Website, by transferring funds to the Fund’s accounts.
5.2. The Donor chooses the amount and payment format at their discretion: one-time or regular (with the possibility to cancel regular payments at any time).
5.3. The charitable donation is voluntary and is not subject to further return to the Donor.
5.4. Public fundraising of free voluntary charitable transfers of funds is carried out on the territory of any country in the world. The direct activities of the Fund related to public fundraising are carried out at the location of the Fund.
5.5. Public fundraising of funds continues until the cessation of the Fund’s activities (including liquidation), unless otherwise determined by the Fund’s decision.
6. FUND’S RESPONSIBILITY
6.1. The Fund is responsible for any violations of the terms of this Agreement and for the use of Charitable Donations contrary to the procedures established by the Fund’s statutory activities and the legislation of Ukraine, in accordance with the current legislation of Ukraine.
7. CONFIDENTIALITY AND PERSONAL DATA PROTECTION
7.1. By accepting the Offer, the Donor confirms that they are aware of and consent to the collection and processing of personal data.
7.2. The Fund collects and processes the personal data of the Donor to achieve the goals, tasks, directions, and types of the Fund’s statutory activities in accordance with the Offer and the current legislation of Ukraine.
7.3. The Fund undertakes not to disclose information about Donors to third parties, except in cases provided for by the current legislation of Ukraine.
7.4. The Fund is not responsible for the disclosure of personal data that occurred as a result of unlawful actions by third parties or if such disclosure occurred with the consent of the Donor.
8. TERM AND PROCEDURE FOR AMENDING THE OFFER
8.1. The Offer becomes effective from the moment of its posting on the Website and is valid until the liquidation of the Organization, unless another term is determined by the Fund. This provision also applies to additions (changes) to the Offer.
8.2. The Fund has the right to change the terms of the Offer without the consent of the Donor. The Organization reserves the right to unilaterally change the terms of the Offer at any time, without any restrictions, by publishing a new version of the Offer on the Website.
8.3. The Donor is obliged to independently track changes in the terms of the Offer by familiarizing themselves with the current new (current) version on the Website.
9. OTHER PROVISIONS
9.1. In case of disputes between the parties to this Agreement, they shall be resolved through negotiations. In case of impossibility to settle disputes through negotiations, disputes shall be resolved by the courts in accordance with the current legislation of Ukraine.
